Synapse Medical Skills, a single-member limited liability company (EURL) with capital of €1,000, registered under SIREN No. 995 308 202, with its principal place of business at 10 rue Roger Salengro, 69009 Lyon (France), EU VAT number FR02995308202, operating under the “Symbiomed” trademark, offers in-person training exclusively for private and salaried dental surgeons and for qualified healthcare professionals (verification of credentials required).
Glossary:
Participant: a healthcare professional who wishes to register for a training course offered by Symbiomed.
The General Terms and Conditions of Sale must be read prior to any registration. Acceptance is deemed to have occurred upon signing the quote or training contract and upon payment of the registration deposit. These terms and conditions take absolute precedence over any documents provided by the Participant (Art. L.6353-1 of the Labor Code). No exceptions are permitted without prior written consent from Symbiomed.
1. Signed quote + Contract
2. Down payment of 1/3 of the total training cost upon registration. (Cancellation/refund: see Art. 5).
3. Verification of prerequisites (copy of diploma/professional license, healthcare professional license number in the country of origin/resume). Applications may be rejected without prejudice.
The Code of Conduct must be signed before the start of the training (immediate exclusion for non-compliance).
Prices exclude VAT (20% VAT in France; 0% VAT in the EU for VAT-registered entities).
For all training courses, there are two payment options:
– A deposit of one-third of the total course fee is due upon registration. This deposit is non-refundable, except in cases of duly justified force majeure (serious health issues, an epidemic, a natural disaster, death, or transportation delays resulting from a natural disaster);
– A second payment of 1/3 of the total course fee, no later than 60 calendar days before the start of the session, by international bank transfer (SEPA or SWIFT) or credit card, unless prior written agreement has been made for installment payments;
– A final payment of 1/3 of the total cost of the training, no later than 30 calendar days before the start of the session, by international bank transfer (SEPA or SWIFT) or by credit card, unless prior written agreement has been made for payment in installments;
For all training courses:
• Any unjustified delay in payment automatically results in the application of late payment interest at a rate of 1.5% per month, a flat-rate collection fee of 10% (excluding tax), and a fixed fee of €45, in accordance with Articles L.441-6 and L.441-10 of the French Commercial Code. Payments from abroad are deemed received on the date they are actually credited to Symbiomed’s bank account; bank fees and automatic late payment charges apply: interest of 1.5% per month + a flat-rate fee of 10% excluding tax + a €45 fee (Art. L.441-6/L.441-10 of the French Commercial Code).
-Participant cancellation:
– Cancellation notified more than 60 calendar days before the start of the training: full refund of all amounts paid; the deposit paid upon registration is nonrefundable, as provided for in Article 5, except in cases of force majeure as described above;
– Cancellation notified between 60 and 30 calendar days before the start of the training: 50% refund of the training fee
-Cancellation notified less than 30 calendar days before the start of the training: the full amount remains due and will be billed as a lump-sum compensation, taking into account the exclusive preparation costs already incurred by Symbiomed (reservation of technical facilities, patient selection and notification, engagement of the trainer, provision of equipment, and organization of the stay);
Participants are not entitled to reschedule a session on their own initiative; Symbiomed may, in exceptional cases, grant a rescheduling provided that the Participant covers all additional costs incurred.
– If Symbiomed cancels: proven force majeure (official pandemic, death of a trainer
) → full refund within 30 days with no further penalties. Rescheduling is possible at our expense if there are more than 5 registrants.
No rescheduling by the client without Symbiomed’s approval.
• Émargement obligatoire par demi-journée (papier nominatif sécurisé). <80% présence → refus attestation (DPC/OPCO).
• Exclusion immédiate sans remboursement : non-respect règlement intérieur (retard répété, perturbation, photo/vidéo sans autorisation, manquement hygiène/sécurité). Décision formateur souveraine. Supports remis uniquement aux présents qualifiés.
Symbiomed provides the training materials (instructors are covered by professional liability insurance) and conducts a standardized assessment. Participants must maintain 100% attendance, adhere to schedule and hygiene requirements, and uphold absolute confidentiality (implicit NDA); professional liability insurance for participants is mandatory. Failure to comply will result in the revocation of the certificate and the imposition of penalties as set forth in Article 5.
• Materials (PDFs, slides, videos) → are the exclusive property of Symbiomed and the partner organization, if applicable (Art . L.111-1 of the French Intellectual Property Code).
• Photos and videos are for strictly personal, non-commercial use only. Strictly prohibited: reproduction, sharing, distribution on social media, or use for client training. Exceptions require prior agreement with Symbiomed.
• Criminal penalties: damages equal to three times the value of the service plus attorney’s fees (Art. L.335-2 CPI). Term: the author’s lifetime plus 70 years.
Symbiomed’s liability is strictly limited to the amount paid (Art. 1231-3 of the Civil Code). The Participant and the Instructor are covered by their professional liability insurance for surgical procedures. The client assumes full responsibility for any surgical accidents and property damage (professional liability insurance is mandatory). Force majeure constitutes a complete exemption from liability.
Healthcare professional data (Art. 9 of the GDPR): legal contract, 5-year retention period, DPO rights. The Privacy Policy is available at https://symbiomed.org/politique-de-confidentialite/
Exclusive application of French law. The Lyon Commercial Court has exclusive jurisdiction as the court of first instance (even within the EU, Art. 42 of the Brussels I Regulation). Prior mediation through the CNPM is mandatory (refusal results in dismissal of the case). The losing party bears 100% of the costs.
